This document establishes the definitions, scope and limitations that govern the relationship between W-Supplies (hereinafter, "the supplier") and its corporate clients when using the ordering, quotation and logistics management portal. Its purpose is to avoid divergent interpretations regarding commercial terms, technical specifications of products and operational responsibilities.

1. General definitions

For the purposes of this document, the following terms shall mean:

  • "B2B Portal": digital platform owned by W-Supplies accessible from whiskysupplies.com, designed for the automated management of logistics consumable orders, large-scale quotations and delivery tracking.
  • "Logistics supplies": products marketed by W-Supplies, including high-strength adhesive tapes, stretch films, industrial pallets (wood, plastic and metal) and other industrial packaging intended for distribution centers and warehouses.
  • "Corporate client": legal entity or authorized entity that registers on the B2B portal and accepts these conditions to place wholesale orders.
  • "Large-scale order": purchase request that exceeds the minimum thresholds defined in the client's catalog within the portal.

2. Technical specifications and tolerances

The technical data sheets published on the portal reflect nominal values obtained under controlled laboratory conditions. The accepted tolerances are as follows:

  • Adhesive tapes: width ±1 mm, thickness ±0.02 mm, initial adhesion ±15% of the declared value.
  • Wooden pallets: external dimensions ±3 mm, dynamic load capacity ±10%.
  • Stretch films: thickness ±0.005 mm, elongation at break ±20%.
  • W-Supplies does not guarantee product performance in applications not foreseen in the technical data sheet nor in undocumented extreme environmental conditions.

3. Quotation and ordering process

Quotations automatically generated by the portal are valid for 5 business days from their issuance, unless a shorter period is indicated in the quotation itself. The client acknowledges that:

  • The prices shown do not include taxes, freight or insurance, unless otherwise specified in the quotation.
  • Order confirmation is subject to stock availability at the time of receipt. In the event of partial stock shortage, W-Supplies will notify the client within a maximum of 24 business hours.
  • The client is responsible for verifying that the quantities, products and conditions of the order match the accepted quotation before confirming the purchase.

4. Delivery and receipt conditions

Deliveries are made to the address registered by the client on the portal. They will be considered received in good condition when:

  • The client or their representative signs the receipt voucher without observations.
  • In case of visible damage, the client must record the incident on the voucher and notify W-Supplies within the following 48 business hours. After this period, the merchandise will be deemed to have been received in conformity.
  • The delivery times provided are estimates and do not constitute a contractual obligation. W-Supplies will make its best effort to meet them, but will not be liable for delays arising from causes beyond its control (weather conditions, road closures, labor disputes, etc.).

5. Liability and limitations

W-Supplies shall not be liable for indirect damages, loss of profits, business interruption or any other loss arising from the use of the products or the portal. The supplier's maximum liability in any claim shall be limited to the value of the order that gave rise to the claim. The following are expressly excluded:

  • Claims for products that have been handled, modified or stored under conditions not recommended by W-Supplies.
  • Claims submitted after 30 calendar days from the date of delivery of the order.
  • Damages caused by the use of products in unauthorized applications or not documented in the corresponding technical data sheet.

6. Modifications and validity

W-Supplies reserves the right to modify these conditions at any time. Modifications will be published on the portal and will enter into force 10 business days after their publication. Continued use of the portal by the client will imply acceptance of the new conditions. If the client does not agree, they must notify W-Supplies in writing within the validity period and refrain from using the portal until the discrepancy is resolved.

  • These conditions supersede any prior verbal or written agreement between the parties regarding the use of the B2B portal and the purchase of logistics supplies.
  • For any controversy, the parties submit to the jurisdiction of the ordinary courts of the Autonomous City of Buenos Aires, waiving any other jurisdiction that might correspond.
